CLUB CONSTITUTION

1. Name and incorporation
The name of the Association (hereinafter called “the Club”) shall be “St Peter’s Football and Sports Club”. The Club shall be incorporated under the Laws of Jersey entitled “Lois (1862 et 1963) sur les teneures en fidéicommis et l’incorporation d’associations”.

2. Definitions and interpretation
(i) (a) “Annual General Meeting” shall mean: meetings of the Club held in accordance with  the provisions of Clause 12(a) and Clause 12(j) hereof.

(b) “The Annual Report” shall mean: the report to be presented to the Annual General Meeting by the Secretary in accordance with the provisions of Clause 14(a) hereof.

(c) “Annual Subscription” shall Mean: the annual subscription payment as determined from time to time in accordance with the provisions of Clause 8(b)(i) hereof.

(d) “The Assistant Secretary” shall mean: the person appointed to hold such office from time to time in accordance with the provisions of Clause 14(e) hereof.

(e) “The Assistant Treasurer” shall mean: the person appointed to hold such office from time to time in accordance with the provisions of Clause 13(c) hereof.

(f) “Bar” shall mean: any open drinking bar, counter at which intoxicating drinks are served, room or part of a room within the Club Room where intoxicating drinks are served.

(g) “The Club” shall mean: “St Peter’s Football and Sports Club”.

(h) “Club Premises” shall mean: any premises owned, leased or occupied by the Club.

(i) “Club Room” shall mean: the room or rooms designated as such from time to time by the Full Committee but excluding always any changing rooms used by sports players, umpires, referees, linesmen and other officials prior or subsequent to the playing of any sports on the Club’s Premises.

(j) “Common Seal” shall mean: the seal of the Club provided for by Clause 21
hereof.

(k) “The Constitution” shall mean: these rules and any amendments or rules adopted in replacement hereof from time to time with the approval of the Royal Court in accordance with the provisions of the Law.

(l) “Entrance Fee” shall mean: the fee as determined from time to time in accordance with the provisions of Clause 8(b)(i) hereof and payable by an applicant upon his admission as a Member of the Club.

(m) “Extraordinary General Meeting” shall mean: a meeting called and held in accordance with the provisions of Clause 12 hereof.(n) “The Financial Report” shall mean: the report to be presented to the Annual General Meeting by the Treasurer in accordance with the provisions of Clause 13(b) hereof.

(o) “The Full Committee” shall mean: the committee established from time to time in accordance with the provisions of Clause 10 hereof.

(p) “Full Member” shall mean: any person named as such in the First Section of the Second Schedule hereto or elected as such by the Full Committee in accordance with the provisions of Clause 6(g) hereof.

(q) “The Full Member’s Levy” shall mean the annual payment as determined from time to time in accordance with the provisions of Clause 8(b)(ii) hereof.

(r) “Honorary Members” shall mean: any person elected as an honorary member of the Club in accordance with the provisions of Clause 5 hereof or named in the First Schedule hereto.

(s) “Junior Member” shall mean: any person named as such in the Third Section of the Second Schedule hereto or elected as such in accordance with the provisions of Clause 6 hereof.

(t) “The Law” shall mean: unless the context otherwise requires the Laws of Jersey entitled “Lois (1862 et 1963) sur les teneures en fidéicommis et l’incorporation d’associations” or any legislation or enactment in force from time to time in replacement thereof.

(u) “The Licensing Law” shall mean: the “Licensing (Jersey) Law, 1974” or any legislation or enactment in force from time to time in replacement thereof.

(v) “Member” shall mean: any Honorary, Full, Ordinary or Junior Member of
the Club.

(w) “Non-Resident” shall mean: any person who has not resided in the Parish for a cumulative period of at least ten years.

(x) “Objects” shall mean: the objects of the Club as set out in Clause 3 hereof.

(y) “Ordinary Member” shall mean: any person named as such in the Second Section of the Second Schedule thereto or elected as such in accordance
with the provisions of Clause 6 hereof.

(z) “The Parish” shall mean: the Parish of St Peter situate in the Island of Jersey.

(aa) “Patron” shall mean: any person elected as a patron of the Club in accordance with the provisions of Clause 7 hereof or named as such in the Third Schedule hereto.

(ab) “Petty Disbursements” shall mean: any sums not in excess of such amount as shall be stipulated by the Full Committee from time to time which do not in addition exceed an amount in any single calendar month as shall be stipulated by the Full Committee from time to time.

(ac) “President” shall mean: such person as is named as such in the Fourth Schedule hereto or is elected from time to time to fill such office in accordance with the provisions of Clause 10 hereof.

(ad) “Registered Address” shall mean: the address of each Member as notified to the Secretary from time to time in accordance with the provisions of Clause 18 hereof or as specified in the Second Schedule hereto.

(ae) “Regulations” shall mean: rules or regulations adopted by the “Full Committee” from time to time in accordance with the provisions of Clause 11(m).

(af) “Resident” shall mean: any person who has resided in the Parish for a cumulative period of at least 10 years.

(ag) “The Secretary” shall mean: the person named as such in the Fourth Schedule hereto or elected from time to time in accordance with the provisions of Clause 10 hereof to fill such office.

(ah) “The Senior Vice President” shall mean: the person holding such office from time to time who has held such office longer than any other servicing Vice President and, in the event of two or more serving Vice Presidents having been elected to such office at the same time, the Senior Vice President shall be the eldest of them.

(ai) “Special Resolution” shall mean: a resolution passed at a General Meeting of the Club by a majority of at least seventy-five per centum of those Full Members present and entitled to vote at such meeting.

(aj) “Sports Levy” shall mean: the annual payment as determined from time to time in accordance with the provisions of Clause 8(b)(iii) hereof.

(ak) “The Treasurer” shall mean: such person as is named as such in the Fourth Schedule hereto or is elected from time to time to fill such office in accordance with the provisions of Clause 10 hereof.

(al) “Vice President” shall mean: the persons named as such in the Fourth Schedule hereto or elected from time to time to fill such office in accordance with the provisions of Clause 10 hereof.

(ii) Words importing the singular number only shall include the plural and vice-versa and unless the context otherwise requires words importing and masculine gender only shall include the feminine gender.

(iii) The Clause-headings used herein are for ease of reference only and shall not be taken into account in the interpretation of the Clauses.

3. Objects
(a) To promote and encourage football and other sports and games.

(b) To promote sports, games, leisure and recreational pastimes and social activities between Members of the Club, to provide Club Premises and generally provide the other advantages and benefits usually associated with a Club.

(c) To provide facilities for the playing of football and other sports and games.

(d) To organise, promote and participate in football matches and competitions
and matches and competitions relating to other sports and games.

(e) To present or assist in presenting exhibition matches whether open to the public generally or otherwise.

(f) To co-operate with similar bodies, institutions and associations wherever situated in establishing football or other sports clubs or games clubs and associations, promoting matches, competitions, exhibition matches and generally furthering the interest of football and other sports and games.

(g) To acquire by purchase, gift, will, lease or otherwise for any estate or interest and on any tenure, land, buildings and any other immovable or movable property, and to lay out, prepare and maintain the same for football or other athletic sports, games and pastimes and to provide and establish clubhouses, bowling greens, recreation parks, tennis and squash courts, swimming baths, paddling pools, stadiums, tracks, gymnasiums, amusement parks, fitness, sport, games and recreation facilities and equipment, coach and car parks, games rooms, snooker and billiard rooms, libraries, reading rooms, refreshment rooms, restaurants, bars, licensed premises, recreation and entertainment rooms and places of entertainment generally, dwelling houses, bungalows, flats, garages, stores and sheds with all necessary and usual offices, amenities, accommodation and other conveniences in connection therewith and to furnish, decorate, alter, enlarge, demolish, repair, uphold and maintain the same and to permit the same to be used, whether for profit or otherwise, by Members and employees of the Club and their families and others.

(h) To promote, hold, give, contribute toward and support luncheons, dinners, balls, socials, concerts, all kinds of entertainments, sports, games, recreations and amusements, whether indoor or outdoor, including funfairs, exhibitions, sideshows and games, competitions, tournaments, cinematograph and television performances, stage and variety shows, aquatic and equestrian events, pyrotechnic, aerial and spectacular displays, dancing, skating, and all other forms and types of performances and functions generally.

(i) To purchase, hire, prepare, make, provide, maintain, supply, sell, deal in, let out on hire, or otherwise dispose of all kinds of balls, apparatus, equipment, badges, footwear and clothing, used in connection with the game of football or any other game or sport and all kinds of food, provisions, refreshments, liquor, drinks, required or used by the Members and employees of the Club and their families or other persons frequenting the property or premises of the Club or attending functions or events arranged by or connected with the
Club.

(j) To present, initiate, promote, organise, provide, conduct, arrange, manage, assist, develop, exploit, finance, make advances to and generally sponsor the presentation, production, direction, performance, playing, programmes, of any form of performance, entertainment, competition, exhibition, sporting, recreational, or other activity (whether public or private) of any nature whatsoever, including plays, films, concerts and broadcasts.

(k) To purchase, hire, prepare, make, provide, maintain, supply, sell, deal in, let out on hire, or otherwise dispose of all kinds of furniture, plate, linen, glass, books, papers, tools, equipment, and other effects, which may be required or conveniently used in connection with the Club.

(l) To hire and employ all classes of person considered necessary for the purposes of the Club and to pay to them and to other persons in return for services rendered to the Club salaries, wages, fees, pensions and gratuities.

(m) To establish, promote or assist in establishing or promoting and to subscribe to or become a member of any other association or club whose objects are similar or in part similar to the objects of the Club, or the establishment or promotion of which may be beneficial to the Club.

(n) To support, subscribe, give to any charitable or public body or institution and to any institution, society, or club which may be for the benefit of the Club or its Members, directly or indirectly or may be connected with sport in general, and to give pensions, aid, gratuities, Christmas boxes, wreaths, presentations, payments towards the insurance of, and to form, contribute to and provide funds for the benefit of any Member, past Member or other person who may have served the Club or to the family of such persons.

(o) To manage, improve and maintain all or any part of the lands, buildings, rights, privileges and other property whether real or personal belonging to, held or occupied by, the Club and to sell, transfer, lease, sublease, exchange or otherwise deal with and dispose of the same, either as a whole or in portions for such consideration as the Club may think fit.

(p) To buy, take on lease or otherwise acquire any land, building, rights, privileges or other property and such as may be deemed by the Club as likely to advance or benefit either directly or indirectly the interests of the Club.

(q) To invest and deal with the monies of the Club not immediately required upon such securities and in such a manner as may from time to time be determined and to deposit the monies of the Club with any Bank and to advance and lend money upon such terms as may be arranged with security.

(r) To borrow, raise and give security for money and to guarantee, secure or discharge any debt or obligation of or binding on the Club by the issue of debentures, debenture stock, bills of exchange, promissory notes, or other obligations or securities of the Club and to give mortgages, charges and liens upon the whole or any part of the Club’s property and assets (whether present or future).

(s) To do all such other lawful things as are incidental to or conducive to the attainment of the above objects or any of them.

4. Composition of the Club
The Club shall consist of the following persons:-

(a) Honorary Members;

(b) Full Members;

(c) Ordinary Members; and

(d) Junior Member.

5. Honorary Members
(a) The Constable and Rector from time to time of the Parish shall be Honorary Members of the Club but such membership shall lapse upon the expiration of their term of office as Constable or Rector as the case may be.

(b) Save for the Constable and Rector from time to time of the Parish all Honorary Members shall (subject to the provisions of this Constitution) enjoy such membership until the expiration of their life-times.

(c) The persons named in the First Schedule hereto shall be the first Honorary Members of the Club.

(d) Additional Honorary Members of the Club being persons who have made a great contribution over many years either to sport in the Island or to the Club may be elected at Annual General Meetings of the Club where the person so elected accepts such election.

6. Full Ordinary and Junior Members
(a) The first Full Members of the Club shall be all those persons named in the First Section of the Second Schedule hereto.

(b) The first Ordinary Members of the Club shall be all those persons named in the Second Section of the Second Schedule hereto.

(c) The first Junior Members of the Club shall be all those persons named in the Third Section of the Second Schedule hereto.

(d) Any person over the age of eighteen shall be eligible to be elected an Ordinary Member.

(e) Any person over the age of eleven but who has not attained his eighteenth birthday shall be eligible to be elected a Junior Member.

(f) A Junior Member shall automatically attain the status of an Ordinary Member on the date of his eighteenth birthday.

(g) Any person who has been an Ordinary Member for at least three consecutive years may with his consent be elected as a Full Member if at least seventyfive per centrum of a written resolution countersigned by those Full Committee Members who support such election which resolution shall be kept with the Club’s records by the Secretary.

(h) Any applicant for membership of the Club either as an Ordinary Member or as a Junior Member shall be in a form as nearly as circumstances permit to the form of application set out in the Fifth Schedule hereto but in any event any such application must be in writing, must be signed by the applicant, must be addressed to the Secretary from time to time of the Club and shall be signed by two Full members, the one as proposer and the other as
seconder both of whom shall vouch from their personal knowledge for the fitness of the applicant to be a Member of the Club.

(i) On receipt of a duly completed application form the Secretary shall post a copy of such application form on the notice-board of the Club room for fourteen full days prior to the first available Full Committee Meeting at which such application may be considered. Any omission from or inaccuracy in the particulars inserted in such application form may at the
Full Committee’s discretion invalidate the application and any election made in consequence of it.

(j) The Full Committee shall consider each application as soon as possible after the elapse of the fourteen days period referred to in sub-clause (i) above and an application shall be deemed successful if at least seventy-five per centum of those present at the relevant Full Committee meeting vote in favour of admitting the applicant to membership of the Club. The Full Committee shall not be required to give any reason whatsoever, in respect of their refusal or acceptance of any application.

(k) Immediately upon the determination of an application by the Full Committee the Secretary shall notify the applicant of the decision of the Full Committee and in the case of a successful applicant he shall be furnished with a copy of this Constitution and any Regulations in force at the time of his election and a request to remit to the Treasurer within fourteen days from the date of such request the amount of his Entrance Fee and his first Annual Subscription. On payment of his Entrance Fee and first Annual Subscription
the applicant shall become a Member of the Club and shall thereupon be entitled to all the benefits and privileges of membership of the Club to which he is entitled to under this constitution and he shall be bound by the provisions of this Constitution and the Regulations.

(l) If the Entrance Fee and first Annual Subscription are not paid by the applicant within fourteen days of the request referred to in sub-clause (k) above, the election of such applicant shall be void, unless he shall satisfy the Full Committee that the delay in payment was due to his absence from the Island or other sufficient cause.

7. Patrons
(a) Patrons of the Club may be elected at Annual General Meetings of the Club when such election is supported by a majority of the Full Members present and entitled to vote at such meeting and the person so elected accepts such election.

(b) All Patrons shall (subject to the provisions of sub-clause (d) of this clause) enjoy such position until the expiration of their life-times.

(c) The persons named in the Third Schedule hereto shall be the first Patrons of the Club.

(d) Any Patron may be removed upon a motion to such effect being put to an Annual General Meeting of the Club and being adopted by a bare majority of the Full Members present and entitled to vote at such meeting.

8. Subscriptions
(a) Patrons and Honorary Members shall pay neither the Entrance Fee or an Annual Subscription.

(b) (i) The Annual Subscription and the Entrance Fee shall be such sums as shall be determined from time to time by the Full Members in the Annual General Meeting in each year after consideration of the Financial Report and recommendations.

(ii) At the Annual General Meeting in each year the Full Members shall after consideration of the Financial Report and recommendations determine the annual amount (if any) to be paid by way of the Full Member’s Levy over and above the amount of the Annual
Subscription.

(iii) At the Annual General Meeting in each year the Full Members shall after consideration of the Financial Report and recommendations determine the annual amount or amounts (if any) to be paid by way of a Sports Levy by Members participating in any sport or game as a Member over and above the amounts of both the Annual Subscription and the Full Member’s Levy. The amount of the Sports Levy may be fixed in different amounts for different sports or games.

(c) Payment of the Annual Subscription shall (subject to the provisions of this Constitution) entitle a Member to all the rights of membership of the Club for the calendar year expiring on the 31st May of the year to which the Annual Subscription relates and shall be paid before the 30th day of September in the year to which it relates.

(d) Ordinary Members shall pay the Annual Subscription and the Entrance Fee in full. Full Members shall pay the Annual Subscription in full.

(e) Junior Members shall pay one-half of both the Annual Subscription and the Entrance Fee.

(f) The first Annual Subscription to be requested from an applicant on becoming a Member of the Club pursuant to the provisions of Clause 6(k) hereof shall be such percentage of the Annual Subscription as corresponds with the unexpired period of the then current calendar year expressed as a percentage.

9. Expulsion and Complaints

(a) Any Member whose Annual Subscription, Full Member’s Levy or Sports Levy is overdue and unpaid for a period of four calendar months from the date upon which is becomes payable and to whose last known address a written notice has been sent by the Secretary requesting payment within fourteen days of the date thereof shall automatically cease to be a Member of the Club after the expiration of the said period of fourteen days.

(b) The Full Committee shall have power to expel any Full, Ordinary or Junior Member who shall offend against this Constitution or the Regulations or whose conduct shall in the opinion of the Full Committee render him unfit for membership of the Club.

(c) No Full, Ordinary or Junior Member shall be expelled pursuant to the powers vested in the Full Committee by sub-clause (b) above unless a majority of the Full Committee then present vote in favour of his expulsion.

(d) Before any Full, Ordinary or Junior Member is expelled pursuant to the powers vested in the Full Committee by sub-clause (b) above the Secretary shall give him at least seven days written notice to attend a Full Committee Meeting and answer any complaints that may then be put to him at such meeting and generally put forward his arguments as to why he should not be expelled.

(e) Immediately upon the determination by the Full Committee of the issue of whether or not a Full, Ordinary or Junior Member should be expelled the Secretary shall notify such Member of the decision of the Full Committee but there shall be no obligation on either the Secretary, any member of the Full Committee or the Club to give any reason for such decision.

(f) All complaints shall in the first instance be made in writing to the Secretary, who, if he shall be unable to deal with them, shall submit them to the Full Committee whose decision thereon shall be final.

10. Full Committee Members
(a) The members of the Full Committee shall be the President, one but not more than four Vice-Presidents, a Secretary, the Treasurer and not less than five nor more than seven additional Full Committee members.

(b) The Full Committee Members shall be appointed by the Full Members at the Annual General Meeting in each year from amongst the Full Members.

(c) All Full Committee members shall hold office until the next ensuing Annual General Meeting but shall be eligible for re-election.

(d) Each candidate for any of the Full Committee positions set out in sub-clause (a) of this clause shall be proposed and seconded by two Full Members who have paid their Annual Subscriptions and Full Member’s Levy up to date and in the event of there being more than one nomination for any one position o the Full Committee the matter shall be put to a vote and determined by a majority vote.

(e) If only one nomination is received for any position on the Full Committee the person so nominated shall be deemed to be elected.

(f) All persons elected in accordance with the provisions of sub-clause (d) above or nominated in accordance with the provisions of sub-clause (e) above shall hold office from the termination of the Annual General Meeting appointing them.

(g) the first officers of the Full Committee shall be those persons listed in the right hand column of the Fourth Schedule hereto who shall hold the office set against their name in the left hand column until the next ensuing Annual General Meeting.

(h) No more than four Non-Residents shall serve on the Full Committee at any one time.

11. Proceedings and Powers of the Committee
(a) The Club shall be managed by the Full Committee whose duty it shall be to carry out and implement the general policy and Objects of the Club and subject to any conditions imposed from time to time by the Club in General Meeting to provide for the administration, management and control of the affairs and property of the Club, the appointment of Managers and Selection Committees, the selection an coaching of all football teams and other teams of the Club and the insurance of all assets and property of the Club and against all liabilities which it is reasonably prudent to obtain insurance in respect of but so that the Full Committee shall never borrow any money, employ any person or purchase, sell, let, lease, mortgage, hypothecate or transact in respect of any real property, Club Premises or Club Room of the Club without having obtained the prior approval of a Special Resolution.

(b) The President shall act as Chairman at all Full Committee Meetings or failing him the Senior Vice-President and in the absence of the President and Vice-Presidents the Full Committee members shall elect a Chairman from amongst those Full Committee members present.

(c) Six Full Committee members present at a Full Committee meeting shall form a quorum.

(d) Each Full Committee member present at a Full Committee meeting shall have one vote in respect of any proposition put to such meeting save that the Chairman shall have a casting vote in the event of an equality of votes.

(e) The Full Committee shall meet at least once in every calendar month.

(f) Each Full Committee member shall be provided with at least forty-eight hours written notice by the Secretary of the time and venue of every Full Committee meeting by means of a written, typed or printed agenda stating the matters to be discussed at the proposed meeting.

(g) The Secretary shall convene Full Committee meetings in accordance with the provisions of sub-clause (f) above so as to ensure that at least one meeting is held each calendar month and in addition when requested so to do by at least three Full Committee members who shall provide the Secretary with a written statement of the matters to be discussed at the proposed meeting.

(h) Any Full Committee member who is unable to attend a Full Committee meeting shall so advise the Secretary prior to the meeting which he is unable to attend.

(i) Should any Full Committee member fail to attend three consecutive Full Committee meetings without reasonable excuse the Full Committee shall have the power to remove him from office by virtue of a proposition to such effect adopted by a simple majority of the Full Committee members present.

(j) The Full Committee shall (subject to the provisions of the Constitution) have the power to fill any vacancies occurring in their number with such Ordinary Members as it may think fit.

(k) The Full Committee shall (subject to the provisions of the Constitution) have power to appoint such Sub-Committees as it thinks fit and to delegate to such Sub-Committees any power, matter or business as it may think fit. Each Sub-Committee shall furnish a report to the Full Committee when required so to do.

(l) The Full Committee shall appoint a Full or Ordinary Member for the purpose of holding any licence or permit required pursuant to the provisions of the Licensing Laws in respect of the sale of alcoholic drinks on the Club Premises.

(m) The Full Committee may from time to time make, repeal and amend all such Regulations (not inconsistent with this Constitution) as it shall think expedient for the management and well-being of the Club. All Regulations made by the Full Committee under this sub-clause shall be binding on the Members until repealed by the Full Committee or set aside by a resolution of a General Meeting.

(n) The Full Committee shall be the sole authority for the interpretation of this Constitution and of the Regulations made from time to time by the Full Committee, and the decision of the full Committee upon any question of interpretation or upon any matter affecting the Club and not provided for by this Constitution or by the Regulations shall be final and binding on the Members.

(o) The Full Committee shall have the power to decide on any matter not provided for in this Constitution until otherwise established by a resolution of a General Meeting or the alteration of the Constitution or the adoption of a Regulation in accordance with the provisions of sub-clause (m) above.

(p) All meetings of any Sub-Committee shall be conducted as nearly as possible in the same manner as Full Committee meetings and the quorums for meetings of any Sub-Committees shall always be at least one third of the number of the members of such Sub-Committee or two, whichever is the greater number.

(q) All minutes of Full Committee meetings, and Sub-Committee meetings shall be signed by the President or in his absence by the Vice-President or the Chairman of the relevant meeting.

12. General Meetings
(a) The Annual General Meeting of the Club shall be held in each year on such day in the month of June and at such place as the Full Committee shall determine.

(b) At least fourteen days notice in writing shall be given to each Member of the Club advising him of the date, time and venue of any General Meeting and as to the business to be transacted therat.

(c) An Extraordinary General Meeting of the Club may be called by the President or in his absence by the Senior Vice-President or by the Secretary upon a written requisition being delivered to the Secretary, and being signed by at least fourteen Full members specifying the matters to be transacted at such Extraordinary General Meeting.

(d) In the event of a written requisition being delivered to the Secretary in accordance with the Provisions of sub-clause (c) hereof the Secretary shall send out written notices to all Members in accordance with the provisions of sub-clause (b) above within at least twenty-one days of receipt by him of such requisition.

(e) The quorum at all General Meetings shall be eleven.

(f) The President shall act as Chairman at any General Meeting or failing him the Senior Vice-President. In the absence of the President and Vice-Presidents the meeting shall elect a Chairman from amongst the Full Members present. The Chairman shall have a casting vote in the event of an equality of votes.

(g) Full Members may attend, speak, make or second propositions and vote at any General Meeting.

(h) Ordinary Members may attend and speak at any General Meeting but shall not make or second propositions or vote.

(i) Junior Members who have attained the age of sixteen years may attend and speak at any General Meeting but shall not make or second propositions or vote. Junior Members who have not attained the age of sixteen years may attend any General Meeting but shall not speak, make or second propositions or vote.

(j) The business of Annual General Meetings shall include the following matters:-

(i) to receive the Minutes of the last Annual General Meeting and of the last Extraordinary General Meeting if any.

(ii) the election of Full Committee Members.

(iii) the election of Patrons.

(iv) the election of Honorary Members.

(v) the election of an auditor for the ensuing Financial Year.

(vi) the consideration of the Annual Report.

(vii) the consideration of the Financial Report.

(viii) approving and fixing the Entrance fee, the Annual Subscription, the Full Member’s Levy and the Sports Levy for the ensuing year.

(ix) the consideration and approving of the Club’s entry into competitions for the ensuing year.
(x) any other business of which the Secretary shall have had written notice of at least twenty-one days before the date of the Annual General Meeting.

(xi) the election of delegates (and if appropriate) sub-delegates to attend meetings of football and other sports and games associations and similar bodies, institutions and associations.

(k) All minutes of general meetings shall be signed by the President or in his absence by the Senior Vice-President or by the Chairman of the relevant meeting.

(l) Each Member shall be entitled to a copy of the Annual Report and Financial Report at the time of the Annual General Meeting in each year.

(m) Every notice sent convening a General Meeting shall contain a statement to the effect that any Full Member may appoint another Full Member as his proxy to attend the relevant meeting and vote thereat on his behalf if he is unable to attend such meeting and each such notice shall be accompanied by a form of proxy as nearly as circumstances shall allow in the form annexed as the Sixth Schedule hereto. Every Full Member who appoints a proxy in accordance with the provisions of this sub-clause shall deliver the form of proxy signed by him to the Secretary at least twenty-four hours before the time of the relevant meeting. Every proxy shall vote in accordance with the directions contained in the form of proxy appointing him.

13. The Treasurer
(a) The office of Treasurer shall always be an honorary position.

(b) The Treasurer shall keep an account of all monies received and paid by the Club, a record of all Entrance Fees, Annual Subscriptions, Full Member’s Levies and Sports Levies paid to the Club and shall arrange for the payment of all accounts and shall prepare a Financial Report each year which duly audited shall be submitted to the Annual General Meeting each year.

(c) The Full Committee shall have the power to appoint an Assistant Treasurer from amongst the Full and Ordinary Members from time to time to assist the Treasurer or to perform all the functions of the Treasurer in the absence or incapacity of the Treasurer.

14. The Secretary
(a) The office of Secretary shall always be an honorary position. The Secretary shall act in accordance with the instructions of the Full Committee, prepare and issue all convening notices, attend all meetings of the Club whenever possible, keep minutes and prepare an Annual Report to be submitted to the Annual General Meeting each year.

(b) He shall have power to make such Petty Disbursements as are necessary to carry on the work of the Club, being reimbursed by the Treasurer.

(c) The Secretary shall in addition perform such other duties relating to the office of Secretary as may be required from time to time and in particular shall keep copies of all correspondence involving the Club.

(d) The Secretary shall be responsible for the keeping and displaying of all trophies held by the Club from time to time.

(e) The Full Committee shall have the power to appoint an Assistant Secretary from amongst the Full and Ordinary Members from time to time to assist the Secretary or to perform all of the functions of the Secretary in the absence or incapacity of the Secretary.

15. Financial Matters
(a) The Auditor shall examine the books of account of the Club at least once annually and shall approve the Financial Report prior to its submission to an Annual General Meeting and shall report on such books of account and Financial Report in writing in the form of a certificate appended to the Financial Report.

(b) The financial year of the Club shall end on the 31st day of May of each year or such other date as shall be specified from time to time by the Full Committee.

(c) All monies received on behalf of the Club shall be held in bank accounts in the name of the Club.

(d) All decisions regarding the placing of funds shall be at the discretion of the Full Committee.

(e) Subject to sub-clause (f) below all cheques drawn on bank accounts held by the Club shall be signed by any two of the President, the Vice-Presidents, the Treasurer or the Secretary.

(f) Any funds not required for the annual running of the Club shall be invested in a separate bank account designated “St Peter’s Football and Sports Club reserve account” and such reserve account shall only be operated upon written instructions signed by the President or in his absence by the Senior Vice-President and counter-signed by the Treasurer or in his absence the Secretary and in addition by one of the Vice-Presidents but so that no one
Vice-President shall ever sign and counter-sign any one instruction.

16. Resignations
(a) Any Member wishing to resign from the Club may do so by delivering written notice to such effect to the Secretary or in his absence to the President.

(b) Any Full Committee member wishing to resign from an elected position may do so by delivering written notice to such effect to the Secretary or in his absence to the President.

17. No Refunds
No Member ceasing to be a Member for any reason whatsoever shall be entitled to any refund in respect of any Entrance Fee, Annual Subscription, Full Member’s Levy or Sports Levy or part or parts thereof paid by him.

18. Registered Addresses
It shall be the duty of each Member to notify the Secretary of his Registered Address on becoming a Member or upon changing his Registered Address.

19. Indemnities
(a) Members and servants of the Club shall be indemnified by the Club for any expenses properly incurred by them in the discharge of the business of the Club.

(b) In the performance of their functions and duties hereunder no Member shall be liable for any loss to the Club arising:-

(i) in consequences of the failure, depreciation or loss of any investment or investments made in good faith or by reason of any mistake or omission made in good faith; or (ii) by reason of any authorised investment made honestly and in good faith or for the negligence or fraud either of any agent employed by the Club although the employment of such agent was not strictly necessary or expedient or of any other Member;

(iii) by reason of any mistake or omission made by any Member; or by reason of any other matter or thing except wilful and individual fraud or wrongdoing on the part of the Member whom it is sought to make liable.

20. Representation
The President or failing him the Senior Vice President duly authorised by a resolution of the Full Committee shall represent the Club before the Royal Court of Jersey and before all Courts and Tribunals whatsoever, in respect of all matters both real and personal or otherwise.

21. Common Seal
The Club may authenticate its act by the use of a Common Seal. The Common Seal shall be affixed to any document in the presence of the President or failing him the Senior Vice President and shall be counter-signed by the Treasurer, the Secretary or one of the other Vice Presidents (but so that no one Vice President shall ever act as both witnesses) being duly authorised in each and every instance by a resolution of the Full Committee and which witnesses shall attest the affixing of the Common Seal.

22. Club Room and Premises
(a) Members of the Club may, subject to the provisions of the Licensing Laws and the conditions imposed on any licence or permit issued to the Club under such laws bring visitors into the Club Room on the following  conditions:-

(i) All visitors shall write their names and addresses legibly in the visitors’ book kept for the purpose and each entry shall be countersigned by the Member introducing the visitor;

(ii) No Member of the Club may introduce more than three visitors into the Club Room on any one day;

(iii) No person may enter the Club Room as a visitor on more than two occasions in any one week;

(iv) No visitor shall be admitted into the Club Room later than one hour before closing time as provided for by the Licensing Laws of the Bar unless the visitors’ book has been signed as aforesaid before that hour on the same day;

(v) The Member introducing the visitor shall at all times remain within the Club Room whilst the visitor is present and shall be responsible for his conduct;

(vi) No person shall be introduced as a visitor into the Club Room who has been expelled from Membership or whose conduct or presence in the Club Room shall be or has been determined as objectionable or prejudicial to the interests of the Club by the Full Committee.

(b) No child under the age of fourteen years shall be admitted into the Club Room except under the constant supervision of a parent, or other authorised adult, who is a Member of the Club.

(c) The opening hours of any Bar established in the Club Room shall be at the discretion of the Full Committee, subject to such hours being within the permitted hours as stipulated by the Licensing Laws if a licence or permit has at any time been issued to the Club under such laws.

(d) The charges to be made for beverages, meals, refreshments and the like, for billiards, snooker and any other games shall be fixed by the Full Committee. Every Member shall before leaving the Club, ensure that all such charges (whether incurred on his own account or for a guest) are paid.

(e) The Full Committee may by Regulations made from time to time lay down the conditions on which any game may be played on the Club Premises and my prohibit any games the playing of which is unlawful or would in the opinion of the Full Committee be injurious to the interests or reputation of the Club.

(f) No paper, advertisement, placard or notice, written or printed, shall be exhibited, displayed or put up on the Club Premises or in any way brought to the notice of Members without the sanction of a member of the Full Committee.

23. Members not to make profit out of Club
(a) No Member shall, except for professional or other services rendered at the request of the Full Committee, on any pretence or in any manner receive any profit, salary or emoluments from the funds or transactions of the Club.

(b) No Member shall give the address of the Club or use the address of the Club for purposes unconnected with the objects and general business of the Club save with the approval of the Full Committee.

24. Alterations to Constitution
(a) Alterations to this Constitution shall (subject to the provisions of sub-clause (d) of this Clause) be effected by the passing of a Special Resolution to such effect.

(b) A resolution proposing any alteration to this Constitution shall be submitted to the Secretary at least twenty-one clear days before the General Meeting at which the resolution is to be put forward.

(c) Not less than fourteen clear days’ notice in writing of any General Meeting at which such a resolution is to be put forward shall be given to the Members and such notice shall set out the resolution or resolutions which are to be put before the General Meeting.

(d) No alterations to this Constitution shall be effective until approved by the Royal Court of Jersey in accordance with the provisions of the Law.

25. Dissolution
a) The Club may be dissolved at any time by a Special Resolution of a General Meeting called for this purpose.

(b) No such resolution shall be considered unless a notice in writing setting out the terms of the proposed resolution and signed by fourteen Full Members shall have been handed to the Secretary twenty-one clear days prior to the General Meeting at which the same is to be put forward.

(c) No such resolution shall be considered unless notice in writing setting out the terms of the proposed resolution and stating the date, time and place of the proposed meeting has been sent by the Secretary to every member not less than fourteen clear days before the date of the General Meeting at which it is to be considered.

(d) If upon the dissolution of the Club there remains, after the satisfaction of all its debts and liabilities any properties or assets whatsoever, the same shall not be paid to or distributed among the Members but shall (subject always to any prior consent as shall be required form the Royal Court or any other tribunal or body pursuant to the provisions of the Law having been obtained) be conveyed by deed of gift transferred and ceded to the Clos des Pauvres of the Parish of St Peter.

26. Observance of Rules
In all matters relating to the playing of football or other sports or games by the Club not specifically provided for in this Constitution or by Regulations, the rules, regulations and bye-laws of the Football Association of England and the Jersey Football Association or of the appropriate governing bodies or associations regulating other sports or games and their respective successors or alternatives shall apply and all persons playing for the Club and Members shall where appropriate be responsible for the observance of such rules, regulations and byelaws.

27. Colours
The colours of the Club shall be red and white or such other colours as the Full Committee may from time to time determine.

28. Emblem
The emblem of the Club shall be the Parochial Coat of Arms.

29. Notices
Where a notice is sent by post, service of the notice shall be deemed to be effected by properly addressing, prepaying and posting a letter containing the notice to the intended recipient’s Registered Address and shall be deemed to have been effected at the expiration of twenty-four hours after the envelope containing it was posted.

30. Compliance
Any Full Member may institute proceedings to ensure that the Club and its various committees and officers comply with the provisions of this Constitution and any Regulations from time to time in force.
